US Amity Treaty Thailand Bangkok
Once the company has been registered, we can apply for your foreign business license allowing 100% foreign ownership. The US Treaty specifies that an American-owned Thai company is permitted to do almost anything which a Thai company does except the following:
* own land
* engage in the business of inland communication
* engage in the business of inland transportation
* engage in fiduciary functions
* engage in banking involving depository functions
* exploit land or other natural resources
* engage in domestic trade in indigenous agricultural products.
Under the Treaty, American shareholders (individuals or entities) shall comprise/hold a majority in terms of the number of shareholders and the number of shares in the company. Management of the company may also be controlled by either American or Thai directors.
The new company will have to, after incorporation, apply for a certificate of Treaty protection (officially called “Alien Business Certificate”) from the Department of Business Development. The minimum capital requirement for a Treaty-protected company is Baht 3 million.
